This Privacy Policy explains how EquityNav Corp. ("EquityNav," "we," "us," or "our") collects, uses, stores, and protects information when you visit our website, use our AI-powered equity compensation platform (the "Platform"), or interact with us through demos, early access programs, or other services (collectively, the "Services"). By using the Services, you agree to the practices described in this policy.

1. Information we collect

(a) Information you provide

• Account and contact information — name, email address, firm name, role, and other details you submit when registering, requesting a demo, or joining a pilot program.
• Client Data — client names, states of residence, and dates of birth that authorized users input into the Platform for equity compensation analysis. Social security numbers and account numbers are not required for Platform operation and should not be submitted.
• Equity and compensation details — information about stock options (ISOs, NSOs), restricted stock units (RSUs), vesting schedules, exercise prices, and related financial data that users input to generate planning insights.
• Communications — messages, feedback, support requests, and any other content you send to us.

(b) Information collected automatically

• Usage data — pages viewed, features used, queries submitted to the Platform, session duration, and interaction patterns.
• Device and browser information — IP address, browser type and version, operating system, device identifiers, and general location (city or region level).
• Log data — server logs, error reports, and performance metrics generated during your use of the Services.

(c) Question-Answer Pairs

As you interact with the Platform, anonymized queries and responses ("Question-Answer Pairs") may be generated. These are stripped of all personally identifiable information and are used as described below.

2. How we use information

• Providing the Services — to operate, maintain, and deliver the Platform, including generating equity compensation insights, tax-planning scenarios, and analytical outputs for your clients.
• Account management — to create and manage your account, authenticate users, and control access at the firm and individual level.
• Improving the Platform — to analyze usage patterns, diagnose technical issues, and develop new features. Anonymized Question-Answer Pairs may be used to train, evaluate, and improve our AI models and machine-learning systems.
• Communication — to respond to inquiries, send service-related notices, and provide updates about your demo, pilot, or account.
• Security and compliance — to protect against fraud, unauthorized access, and other security threats, and to comply with applicable laws and regulations.
• Analytics and benchmarking — to create aggregated, de-identified industry insights and benchmarks that do not identify any individual or firm.

3. How we share information

We do not sell your personal information. We may share information in the following circumstances:

• Service providers — with third-party vendors who help us operate the Platform and Services (for example, cloud hosting, email delivery, analytics, and customer support tools). These providers are contractually obligated to use your information only to perform services on our behalf.
• Legal requirements — if required to comply with applicable law, regulation, subpoena, court order, or legal process.
• Safety and rights — to protect the rights, safety, property, or security of EquityNav, our users, or the public.
• Business transfers — in connection with a merger, acquisition, reorganization, or sale of assets, in which case your information may be transferred as part of that transaction. We will notify you of any such change.
• With your consent — in any other circumstances where you have given us explicit consent to share your information.

4. AI and machine learning

EquityNav uses artificial intelligence and machine-learning technology to power the Platform. Anonymized Question-Answer Pairs — stripped of client names, specific asset information, and other personal data — may be used to train, fine-tune, and improve our AI models. We use only the logic and methodology from these interactions, not personally identifiable information. We apply commercially reasonable de-identification measures before using any data for model improvement.

5. Data storage and security

All Client Data is processed and stored within the United States. We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect your information, including encryption in transit and at rest, access controls, and regular security assessments. No method of transmission over the internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

6. Data retention

• Account and contact information — retained for as long as your account is active or as needed to provide Services, and thereafter as required to comply with legal obligations, resolve disputes, and enforce agreements.
• Client Data — personal information contained in Client Data will be deleted within thirty (30) days after termination of your agreement with EquityNav, except as required by law or legal process.
• Question-Answer Pairs — anonymized Question-Answer Pairs are retained permanently for AI training and Platform improvement purposes.
• Usage and log data — retained for a reasonable period to support analytics, troubleshooting, and security purposes, and then deleted or anonymized.

7. Security breach notification

In the event of unauthorized access to or disclosure of Client Data, EquityNav will notify affected firms within seventy-two (72) hours of discovery and will use reasonable efforts to assist in remediation.

8. Your rights and choices

Depending on your jurisdiction, you may have the following rights regarding your personal information:

• Access — request a copy of the personal information we hold about you.
• Correction — request that we correct inaccurate or incomplete personal information.
• Deletion — request that we delete your personal information, subject to certain legal exceptions.
• Portability — request a machine-readable copy of your personal information.
• Opt-out — opt out of certain data uses where applicable under law.

9. Cookies and tracking

11. Children's privacy

The Services are not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If we become aware that we have collected personal information from a child, we will take steps to delete that information promptly.

12. California and state privacy rights

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, the right to request deletion, and the right to opt out of the sale of personal information. We do not sell personal information. For other US states with applicable privacy laws, we will comply with the requirements of those laws as they apply to our Services.

13. International data processing

The Services are operated from the United States. If you access the Services from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States. By using the Services, you consent to such transfer and processing.

We may update this Privacy Policy from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may notify you through the Platform or by email. Your continued use of the Services after any changes constitutes your acceptance of the updated policy.
